Summary of changes
1.1 These Terms govern the subscription to a paid plan of the SwipeOut Business console: activation, renewal, payment, invoices, included campaigns, cancellation and downgrade.
1.2 They form part of the contract together with the SwipeOut Business Terms and Conditions (the "Terms") and the Price List. Capitalised words have the meaning given in the Terms.
1.3 In the matters they govern, these Terms prevail over the Terms and Conditions. For prices and numerical limits the Price List in force at the time of activation or renewal prevails.
1.4 Campaigns, including those included in the subscription, are also governed by the Campaign Terms.
2.1 Free plan. It is permanent, it is not a trial and it does not expire. There is no trial period for paid plans.
2.2 Paid plans. For each type of organisation (venue or event organiser), the Price List shows the available plan, its price and the included functions. Depending on the plan, these may include: bookings without a monthly limit, full dashboard with history, CSV export, suggested post texts, booking insights and included campaigns.
2.3 One subscription per organisation. A subscription covers a single organisation. If you manage several organisations, each has its own.
2.4 Prices. Price List prices are in euro, net of taxes where due. Before payment the Console shows you the total amount to be paid.
2.5 Different arrangements. Plans with a duration other than monthly and discount codes are available only under a written agreement with SwipeOut or with a code we have given you, on the conditions stated there.
3.1 Activation. You activate the subscription from the Console. Before payment we ask for your tax data (§5.3). The subscription is active when Stripe confirms the payment to us, or immediately in the case of §4.3.
3.2 Period and cycle. The subscription is monthly, with an anniversary billing cycle from the activation date: if you activate on 14 March, subsequent periods start on the 14th of each month.
3.3 Automatic renewal. At the end of each period the subscription renews automatically for another month and the fee is charged to the registered payment instrument, until you cancel (§8).
3.4 Full fee. The fee for each period is due in full. No proportional calculation (pro rata) applies, whether on activation, cancellation or suspension.
Clauses specifically approved: §11, no. 15.
3.5 Price changes. We may change the subscription price. We notify you by email at least 30 days in advance, and the new price applies from the first renewal after that period. If you do not accept it you may cancel before: the subscription remains active until the end of the paid period, at the previous price. The new price never applies to periods already paid.
Clause specifically approved: §11, no. 16.
4.1 Stripe. Payment takes place on the Stripe page, by card or SEPA direct debit. Card and SEPA mandate details are collected and stored by Stripe; we receive only the outcome and minimal payment data. The processing of your data is described in the SwipeOut Business Privacy Notice, §6.
4.2 Authentication. Payment may require additional authentication with your bank. We do not control the outcome.
4.3 Activation with SEPA. With SEPA direct debit the subscription is activated immediately, before collection is confirmed. Under SEPA scheme rules, final confirmation of collection, or its dispute, may arrive up to eight weeks later.
4.4 Failed or reversed payment. If payment for a period fails, or a SEPA debit is reversed for any reason:
a) the subscription goes into payment failed status and we notify you by email; b) for 30 days the paid plan functions remain active, and you can settle from the Console; c) after 30 days without payment, the organisation moves to the free plan; d) if a renewal payment failed, we do not ask you for the amount of the period left unpaid; e) if a SEPA debit was reversed (SEPA chargeback), the amount for the periods already used remains due, even after the move to the free plan, and we may recover it through ordinary means.
Clause specifically approved: §11, no. 17.
5.1 The Stripe receipt is not the invoice. Stripe sends you a payment receipt, which is not a tax document.
5.2 Electronic invoice. We issue the invoice and it reaches you through the Sistema di Interscambio (SdI, the Italian e-invoicing exchange system) at the recipient code or PEC (Italian certified electronic mail) address you provided, within the time limits set by law.
5.3 Tax data. Before payment you must provide complete and accurate tax data — company or trading name, VAT number or codice fiscale (Italian tax code), registered address, SdI recipient code or PEC — and keep it up to date from the Console. Changes are not retroactive: invoices already issued remain addressed to the data in force when they were issued, save for corrections required by law. We are not liable for the consequences of inaccurate or outdated data provided by you.
Clause specifically approved: §11, no. 18.
5.4 Record-keeping. We keep invoices for 10 years, even after account deletion, disconnected from the account. You can ask for a copy at info@swipeout.it.
6.1 Allowance per period. Where the Price List provides for it, the subscription includes a number of campaigns for each monthly subscription period, of the tier shown in the Price List.
6.2 The allowance does not accumulate. Included campaigns not created by the end of the period are lost: they do not carry over to the next period and give no right to refunds, credits or compensation.
6.3 Included campaigns are governed by the Campaign Terms: you create, launch and measure them like any other campaign, without paying for the included tier.
6.4 At the end of the subscription. On cancellation, downgrade or termination of the contract the unused allowance is lost. Included campaigns already launched continue until they end.
Clause specifically approved: §11, no. 19.
7.1 Amounts paid for the subscription are not refundable. In particular, the following give no right to refund, credit, compensation or extension:
a) cancellation, even if made the day after renewal; b) downgrade to the free plan; c) leaving the organisation or deleting the account; d) suspension ordered under the Terms §13.2; e) termination for your breach; f) not using the service or the included campaigns; g) cessation of your business.
7.2 No pauses. The subscription cannot be suspended for seasonality, closure or other reasons: the alternative to continuing is cancellation.
7.3 The refund provided in the Terms §13.4 and the legal remedies in case of our breach remain unaffected.
Clause specifically approved: §11, no. 20.
8.1 Cancellation. You can cancel from the Console at any time, without notice. Cancellation takes effect at the end of the period already paid: until then the plan functions remain active, then the organisation moves to the free plan and there are no further charges.
8.2 Reason. We ask you, if you wish, to give the cancellation reason. It is not a condition of cancellation.
8.3 Downgrade removes functions, not content. Listing, menu, posts and events remain published; bookings already received remain visible, within the periods of the Terms §9.6; the free plan limits shown in the Price List apply.
8.4 Reactivation. You can reactivate at any time. Reactivation opens a new cycle from the reactivation date, at the Price List price then in force, and does not recover campaign allowances or previous periods.
9.1 §16 of the Terms applies: dated version, at least 30 days' notice by email, summary of changes, possibility to cancel before the change takes effect.
9.2 The new version is requested at your first access to the Console after its entry into force or, if earlier, at your first payment. If a clause in §11 changes, we ask for your approvazione specifica again.
10.1 §§17 and 18.4 of the Terms apply: Italian law, exclusive jurisdiction of the Court of Campobasso without prejudice to mandatory jurisdictions, precedence of the Italian version.
These Terms are general terms and conditions (condizioni generali di contratto) drawn up by SwipeOut. The clauses listed below take effect only if you specifically approve them in writing (approvazione specifica under Article 1341 of the Italian Civil Code: specific written approval of onerous standard terms), under Articles 1341(2) and 1342 of the Italian Civil Code. The list is shown in full on the activation screen, before the second checkbox. Numbering continues from the Terms and Conditions.

| 20 | 7 | Exclusion of refunds and of subscription suspension |
Text of the second checkbox:
☐ Under Articles 1341 and 1342 of the Italian Civil Code I specifically approve clauses nos. 15, 16, 17, 18, 19 and 20 of the Paid Plan Terms listed above.
Version 2026-10-24. Contacts and web addresses move to the new domain: info@swipeout.it and business.swipeout.it. Nothing else changes.
Version 2026-10-10. The service is renamed SwipeOut. Nothing else changes.
Version 2026-10-03. Prices, functions and included campaigns referred to the Price List in the Console. Campaigns now have their own Terms; only those included in the subscription remain here, and they reset each monthly period (§6). Failed payments and SEPA chargebacks follow the same rule: 30 days with functions active, then the free plan (§4.4). Tax data requested before payment (§3.1). List in §11 updated: clauses 15-20.
Version 2026-08-17. First issue.
